Abstract

الملخص: شهد العالم على مدار العقود القليلة الماضية حدوث العديد من الأزمات الاقتصادية والمالية وعلى نحو خاص الأزمة المالية العالمية التي أطاحت باقتصاديات عدد كبير من الدول المتقدمة والنامية، مما دفع ذلك دول العالم للاهتمام بالحوكمة بوصفها مجموعة من النظم التي تحكم العلاقات بين الأطراف الأساسية التي تؤثر في الأداء. وكخطوة عملية، بادرت الجزائر في 2009 بإصدار ميثاق الحكم الراشد للمؤسسات، ليشكل أرضية مبسطة تسمح بفهم المبادئ الأساسية للحكم الراشد للمؤسسات في مسعى يهدف لتحقيق الشفافية، وتبني معايير ومبادئ حوكمة الشركات. وعليه جاءت هذه الورقة البحثية لاستعراض أهم الجوانب النظرية لحوكمة الشركات، مبادئ حوكمة الشركات وأهدافها، واقع حوكمة الشركات في الجزائر

Abstract: Over the past few decades, the world has witnessed many economic and financial crises, in particular the global financial crisis that has overthrown the economies of a large number of developed and developing countries. This has led the world to look at governance as a set of systems that govern relationships between key players affecting performance. As a practical step, in 2009, Algeria launched the Corporate Governance Charter, a simplified platform that allows for understanding the basic principles of good corporate governance in an effort to achieve transparency and to adopt corporate governance standards and principles. Accordingly, this paper presents a review of the most important theoretical aspects of corporate governance, the principles of corporate governance and its objectives, and the reality of corporate governance in Algeria.
